These Terms of Service ("Terms") govern your use of Orcha, a desktop application for multi-agent orchestration of LLM CLI instances (the "Service"). By downloading, installing, or using Orcha, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Service.
"Orcha," "we," "us," and "our" refer to the developers and operators of the Orcha application. "You" and "your" refer to the individual or entity using the Service.

We do not control these third-party services and are not responsible for their availability, accuracy, reliability, data handling, retention, security practices, changes to their services or terms, or any harm resulting from your use of their services.
Orcha, including its source code, design, documentation, and branding, is the intellectual property of Orcha and its licensors. All rights not expressly granted are reserved.
You retain ownership of all code, data, and content you submit through Orcha. By using the Service, you grant us a limited license to process your content solely to provide the Service.
Code and suggestions generated by AI agents are provided for your use. You are responsible for ensuring any generated code does not infringe third-party intellectual property rights.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:
We do not warrant that: AI agents will perform correctly or as expected; generated code will be secure, bug-free, or suitable for your needs; the Service will meet your requirements; or any errors will be corrected.
You acknowledge that: AI may produce incorrect, harmful, or inappropriate outputs; you use AI-generated code at your own risk; and you are solely responsible for reviewing and validating all outputs.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
We shall not be liable for any data loss, repository damage, security vulnerabilities introduced by AI-generated code, deployment damage, system damage, lost profits, or indirect, consequential, incidental, special, or punitive damages.
In no event shall our total liability exceed the greater of: the amount you paid for the Service in the 12 months preceding the claim, or one hundred euros (EUR 100).
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Orcha, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including if we reasonably believe you have violated these Terms.
You may stop using the Service at any time by uninstalling the application and deleting your data.
Upon termination, your license to use the Service ends immediately. Sections 3, 8–11, and 13–16 shall survive termination.
These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of the Netherlands.
If you are a consumer in the European Union, you may also have the right to bring proceedings in your country of residence.
We reserve the right to modify these Terms at any time. Changes will be effective upon posting the revised Terms with an updated "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Orcha regarding your use of the Service. These Terms supersede any prior agreements or understandings. No waiver of any provision shall be deemed a waiver of any other provision.
