1. Introduction & Acceptance

These Terms of Service ("Terms") govern your use of Orcha, a desktop application for multi-agent orchestration of LLM CLI instances (the "Service"). By downloading, installing, or using Orcha, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

"Orcha," "we," "us," and "our" refer to the developers and operators of the Orcha application. "You" and "your" refer to the individual or entity using the Service.

2. Eligibility

You must be at least 18 years old to use this Service.

By using Orcha, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• Your use of the Service will not violate any applicable law or regulation

3. Risk Acknowledgment

3.1 Arbitrary Code Execution

Orcha runs Claude CLI with the --dangerously-skip-permissions flag, which allows AI agents to execute arbitrary code on your machine without per-action consent.

This means:

• AI agents can create, modify, or delete files in your repositories and potentially elsewhere on your system
• AI agents can execute shell commands including installing packages, running scripts, and modifying system configurations
• AI agents can make Git commits and pushes to your repositories
• AI agents can access and transmit file contents to third-party AI services

3.2 Repository Modification Risks

Using Orcha may result in:

• Unintended code changes — AI may introduce bugs, security vulnerabilities, or breaking changes
• Data loss — Files may be overwritten, deleted, or corrupted
• Repository corruption — Git history may be modified or corrupted
• Disclosure of sensitive information — Code and data are transmitted to third-party AI providers

3.3 AI Limitations

AI agents:

• May produce incorrect, incomplete, or harmful code suggestions
• May misunderstand instructions and take unintended actions
• Cannot guarantee security of generated code
• May not follow best practices for your specific context

3.4 Your Acknowledgment

4. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install Orcha on your personal devices
• Use Orcha for your personal or internal business purposes

You may not:

• Sublicense, sell, or distribute Orcha
• Modify, reverse engineer, or decompile Orcha (except as permitted by law)
• Remove any proprietary notices or labels
• Use Orcha to develop a competing product

5. User Responsibilities & Warranties

5.1 Code Ownership & Authorization

• You own or have the necessary rights to the code you submit to agents
• You are authorized to transmit code to third-party AI services
• You have obtained any required approvals from your employer or clients

5.2 Confidential & Regulated Data

• You will not submit confidential, proprietary, or trade-secret code without proper authorization
• You will not submit code subject to legal restrictions (e.g., export controls, contractual obligations)
• You will not submit code containing personal data of third parties without consent

5.3 Credentials & Secrets

• You will not include API keys, passwords, credentials, or secrets in code submitted to agents
• You will use appropriate measures (.gitignore, .env files) to exclude sensitive data
• You accept responsibility for any credential exposure that occurs through your use

5.4 Review & Verification

• You will review all code changes made by agents before use
• You will test agent-generated code before deploying to production
• You will not blindly trust or deploy AI-generated code without verification

6. Acceptable Use

You agree not to use Orcha to:

• Generate or submit illegal, harmful, or malicious content
• Create code intended to harm, defraud, or exploit others
• Circumvent security measures or safety features
• Violate any applicable law, regulation, or third-party rights
• Abuse, overload, or interfere with the Service or third-party services
• Attempt to gain unauthorized access to any system or data

7. Third-Party Services

Orcha integrates with and depends on third-party services. Your use of these services is subject to their respective terms:

We do not control these third-party services and are not responsible for their availability, accuracy, reliability, data handling, retention, security practices, changes to their services or terms, or any harm resulting from your use of their services.

8. Intellectual Property

8.1 Our Software

Orcha, including its source code, design, documentation, and branding, is the intellectual property of Orcha and its licensors. All rights not expressly granted are reserved.

8.2 Your Content

You retain ownership of all code, data, and content you submit through Orcha. By using the Service, you grant us a limited license to process your content solely to provide the Service.

8.3 AI-Generated Content

Code and suggestions generated by AI agents are provided for your use. You are responsible for ensuring any generated code does not infringe third-party intellectual property rights.

9. Disclaimer of Warranties

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Merchantability — fitness for a particular purpose
• Accuracy — correctness or completeness of AI outputs
• Reliability — uninterrupted or error-free operation
• Security — absence of vulnerabilities in generated code
• Non-infringement — that outputs do not infringe third-party rights

We do not warrant that: AI agents will perform correctly or as expected; generated code will be secure, bug-free, or suitable for your needs; the Service will meet your requirements; or any errors will be corrected.

You acknowledge that: AI may produce incorrect, harmful, or inappropriate outputs; you use AI-generated code at your own risk; and you are solely responsible for reviewing and validating all outputs.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

10.1 Exclusion of Damages

We shall not be liable for any data loss, repository damage, security vulnerabilities introduced by AI-generated code, deployment damage, system damage, lost profits, or indirect, consequential, incidental, special, or punitive damages.

10.2 Liability Cap

In no event shall our total liability exceed the greater of: the amount you paid for the Service in the 12 months preceding the claim, or one hundred euros (EUR 100).

10.3 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Orcha, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Code you submit or generate through the Service
• Unauthorized use of code, data, or intellectual property
• Claims of intellectual property infringement related to your content
• Any breach of confidentiality obligations through your use
• Third-party claims resulting from your use of the Service

12. Termination

12.1 By Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including if we reasonably believe you have violated these Terms.

12.2 By You

You may stop using the Service at any time by uninstalling the application and deleting your data.

12.3 Effect of Termination

Upon termination, your license to use the Service ends immediately. Sections 3, 8–11, and 13–16 shall survive termination.

13. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of the Netherlands.

If you are a consumer in the European Union, you may also have the right to bring proceedings in your country of residence.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting the revised Terms with an updated "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Orcha regarding your use of the Service. These Terms supersede any prior agreements or understandings. No waiver of any provision shall be deemed a waiver of any other provision.
